Foreign qualification is the process of registering your business to operate in a state where it was not originally formed. Despite the name "foreign," it applies to any out-of-state registration, a Delaware LLC operating in California needs to foreign qualify in California.
When do I need to foreign qualify?
Generally, you need to foreign qualify in any state where you have employees, office space, significant revenue, or ongoing business operations. The specific nexus thresholds vary by state. When in doubt, register, the penalty for operating without qualification is typically much worse than the registration fee.
How long does entity formation take?
